1. No investment, legal, or tax advice

Nothing on this website, in the Portly application, smart contracts, documentation, source code, social media, or any related communication constitutes investment advice, financial advice, trading advice, legal advice, or tax advice. Portly does not recommend that any digital asset, token, or "Position" should be bought, sold, held, or created. Before making any financial decision, conduct your own due diligence and consult a licensed financial adviser, attorney, and tax professional in your jurisdiction.

2. No offer of securities; no expectation of profit

Portly and any associated digital assets are not intended to constitute securities, commodities contracts, derivatives, or any other regulated financial instrument in the United States or any other jurisdiction. Nothing on this site is an offer to sell, a solicitation of an offer to buy, or a recommendation of any security or financial instrument, and nothing here should be understood as creating an expectation of profit derived from the efforts of others.

To the extent any meme token, community token, or digital collectible is ever associated with the Portly brand: such a token would be intended solely for entertainment, community, and experimental utility purposes; it would have no intrinsic value, no backing, no yield, no dividend, no buyback, no governance right over any company, and no expectation of financial return. Prices of such assets are extremely volatile and can go to zero. Never spend money on digital assets that you cannot afford to lose entirely.

3. Tokenized exposure: what a Position is and is not

A Portly "Position" is a blockchain record that may hold tokenized exposure to underlying assets made available on Robinhood Chain by third parties. A Position holding tokenized equity exposure does not mean you own shares of any company. You do not acquire shareholder rights, voting rights, dividend entitlements, or any direct claim against any issuer. The legal nature, custody arrangements, and enforceability of third-party tokenized assets are defined by those third parties, not by Portly, and may change or fail entirely.

4. No Robinhood affiliation

Portly is an independent project built on Robinhood Chain. Portly is not affiliated with, associated with, endorsed by, sponsored by, or operated by Robinhood Markets, Inc. or any of its subsidiaries. "Robinhood" and related marks are trademarks of Robinhood Markets, Inc. References to Robinhood Chain describe the underlying blockchain infrastructure only.

5. Experimental software; pilot status

Portly is under active development. Deployments may exist on test networks and, in a limited pilot with strict per-Position caps, on Robinhood Chain mainnet. The contracts have not yet completed an external audit. Test networks can be reset at any time and testnet assets have no monetary value. Smart contracts may contain bugs, may be exploited, may be paused, and may lose any or all value routed through them, even after audits. The frontend is an interface, not custody: Portly does not hold your keys and cannot recover assets sent to the wrong address or lost through your own key management.

Portly is not directed at, and must not be used by, any person in a jurisdiction where use would be unlawful. Without limitation, Portly is not offered to persons subject to sanctions administered by OFAC or equivalent authorities, or to any person in an embargoed territory. You are solely responsible for compliance with the laws of your jurisdiction, including securities, tax, and exchange-control laws. United States persons should be aware that tokenized exposure to equities and similar instruments may be restricted or unavailable in the United States; nothing here invites US persons to circumvent any restriction.

8. No fiduciary duty; assumption of risk

Your use of Portly does not create any fiduciary, advisory, brokerage, custodial, or agency relationship. You interact with immutable or semi-immutable smart contracts directly and at your own risk. By using Portly you acknowledge that you understand how blockchain transactions work, that transactions are irreversible, and that you accept full responsibility for every transaction you sign.

9. Limitation of liability

To the maximum extent permitted by applicable law, Portly, its contributors, developers, and affiliates shall not be liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including loss of profits, tokens, data, or goodwill, arising from or related to your use of, or inability to use, the protocol, the website, or any associated digital asset, even if advised of the possibility of such damages. The protocol is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, express or implied.

Any roadmap items, feature descriptions, or "future extensions" described in Portly materials are aspirational, may never ship, and must not be relied upon in any purchase or usage decision.

These disclosures may be updated at any time without notice. Continued use of the site or protocol after changes constitutes acceptance. Exact legal wording is subject to professional legal review before any mainnet launch.
